The Department of Telecommunications alleged that
Aircel<\/a>’s resolution blueprint is a “liquidation plan” not aimed at reviving the bankrupt telco and includes the transfer of spectrum, which the government has yet to approve. A decision on spectrum will likely affect Reliance Communications<\/a> (RCom), another bankrupt telco.

The National Company Law Tribunal allowed UV Asset Reconstruction Company Ltd. (UVARCL) in June to take over Aircel’s business as a going concern and run smaller units such as the bulk SMS and enterprise divisions. The rest of the assets, including spectrum, were to be sold, with the money going to lenders.

“It is submitted that the resolution plan in respect of Aircel Group, which was approved by…
NCLT<\/a>... is bad in law and contrary to the licence agreement and NIA conditions,” DoT<\/a> said in an affidavit filed in the adjusted gross revenue case in the Supreme Court. NIA, or notice inviting applications, is the document that contains rules pertaining to auctioned spectrum.

The telecom department alleged that UVARCL’s plan is “a liquidation plan, wherein the assets and other property is being sold to pay off the financial creditors to the peril of the operational creditors.”

Selling the entire business of corporate data is “against the object of the code of revival,”
DoT<\/a> said.

DoT has claimed dues of Rs 14,000 crore from Aircel as an operational creditor, and AGR dues of Rs 12,389 crore, along with unpaid instalments for the right to use spectrum. It has now refused to allow the sale of spectrum, which is key to Aircel’s resolution plan and will have a bearing on the resolution plan of RCom. UVARCL aims to buy RCom’s spectrum assets as well.

“The resolution plan (of Aircel) seeks to transfer the licence and spectrum, without seeking approval of the licensor or DoT, which is contrary to the licence agreement,” the department said in the affidavit reviewed by ET.

It said the “one-sided” resolution plan favoured applicant UVARCL.

“Resolution plan entirely hinges upon spelling selling the spectrum to a prospective buyer and the resolution applicant has no intention to provide telecom services for which the licence has been granted to the corporate debtor,” said DoT.

The government has fought a long-drawn battle over the ownership of airwaves against Aircel and RCom. The telcos went bust under debt of Rs 26,000 crore and Rs 46,000 crore, respectively.

DoT said in the affidavit that it had consistently asked RCom to pay its AGR and spectrum-related dues. It informed the resolution professional in May that if dues pertaining to deferred spectrum auction instalments are not paid, then its spectrum\/license was liable to be terminated.

RCom’s deferred liability for spectrum purchased between 2014-2016 stood at Rs 1,597.68 crore until October 30, 2019. RCom’s AGR dues are Rs 25,199.27 crore.

According to legal experts, UVARCL will be a clear winner in betting on telecom operators in the debt-laden industry when most investors are wary about telcos.

“UVARCL is bucking the trend with its massive bid for Aircel and now RCom,” said Sonam Chandwani, managing partner at KS Legal & Associates. “The currently undervalued RCom paints a derogatory picture of the company with stronger intrinsic value.
