\"\"MUMBAI: GTL Infrastructure<\/a>, a telecom<\/a> tower company, has filed a petition in the Delhi High Court to block the financial restructuring of Aircel<\/a> until the mobile service provider pays it over Rs 900 crore for outstanding dues and premature rent cancellation.

\nThe matter, to be heard on Thursday ex-parte (without Aircel’s representation), could hinder the telecom operator’s talks with Indian lenders to restructure debt of Rs 15,500 crore, which is key to its survival. If an order is passed as per GTL Infra’s petition, Aircel’s funds could be frozen until the dispute is resolved.

\nAs per the petition filed by GTL Infra, seen by ET, Aircel has asked to discontinue the use of towers in six service areas where it has surrendered spectrum and for rentals in these circles to cease from February. The tower company said Aircel seeks to “wrongfully and illegally terminate” the site leases before the expiry of their term, as per their agreement.

\nGTL Infra, which opted for strategic debt restructuring (SDR) in 2016 and is itself up for sale, is seeking to recover dues and penalties from the premature cancellation of tower rentals by Aircel. The telecom operator sold its towers to GTL Infra seven years ago and is now scaling down operations in a bid to improve earnings. “Any restructuring cannot be undertaken unilaterally without giving due consideration to the impact on the ecosystem reliant on Aircel,” the company said in the submission.

\n“We cannot comment as the matter is sub judice but since we are majority held by banks after our SDR we will take all necessary steps to recover what is due to us,” a GTL Infra spokesman said. Aircel declined to comment. Aircel promoter, Malaysia-based billionaire T Ananda Krishnan, is open to investing $500 million in the India venture, even though it had yielded no return over 10 years, as part of the restructuring and growth capital for the company, ET reported in December.

\nAccording to GTL Infra’s petition, Aircel informed the telecom department about the return of spectrum on December 1 and asked to terminate the rentals from GTL Infra since it not be offering services in these areas. Aircel is using this “backhanded approach” and its surrender of licences as reasons to exit its obligations in gross violation of the existing agreement, GTL Infra said in the petition. The tenancies are contracted till January 13, 2025, it said, adding that the penalty for premature termination is about 80% of the rental.

\nAircel has leased towers from other operators over the past few years and has paid GTL Infra penalties of Rs 2,100 crore for not honouring growth commitments, according to the court filing. The petition also said Aircel and its lenders have formed a trust and retention account, which under Reserve Bank of India regulations, prioritises payments to vendors over lenders.
