BENGALURU: Infosys<\/a> has turned down a demand by company co-founder NR Narayana Murthy<\/a> that the report on its investigation into whistleblower complaints be made public.

\nMurthy, sources said, wrote a letter to the board three weeks ago asking for a full public disclosure of the report by US law firm Gibson Dunn and global risk consultancy and investigations firm Control Risks.

\nTOI sent a mail asking Murthy about the purpose of his request to the board, but there was no response till the time of going to the print. It is not clear what Murthy expects from the full re port. Asked about Murthy's letter, Infosys said it “does not plan to make the report public“.

The two firms were mandated to look into allegations of improprieties in connection with Infosys' acquisitions of
Panaya<\/a> and Skava Systems in 2015 and that the merger s and acquisitions team acted without securing proper approvals. They were also asked to look into charges that CEO Vishal Sikka<\/a> requested that improper deals be made with customers, and that he received inappropriate compensation and incurred excessive expenses relating to travel, security and his Palo Alto office.

\nInfosys had, on June 23, disclosed a summary by Gibson Dunn of the investigation they conducted. The law firm said unambiguously that it, and Control Risks, had not found any evidence to support any of the allegations.

\nGibson Dunn also reviewed two previous investigations completed by Indian law firm Cyril Amarchand Mangaldas last year, related to the propriety of a severance payout made to former chief financial officer (CFO) Rajeev Bansal. It found that the two previous investigations were thorough, and that their findings and conclusions were reasonable and credible based on the evidence.

Analysts were surprised that the issues between the co-founders and the board have come to the fore again.“Murthy's spat with Infosys' board is like a sequence from the movie Groundhog Day (a 1993 American comedy). Every time the issues appear to have been settled, they start afresh,“ Tom Reuner, SVP of intelligent automation and IT services at IT consulting firm
HfS Research<\/a>, said.

\nHe said Infosys urgently needs a phase of stability as the market undergoes the seismic shift toward notions of digital and automation. “If this is not enough, the macro environment remains challenging with the key US and UK markets being unpredictable. In such volatile times, Murthy has to make his mind up, either put up or shut up,“ he said.

\nShriram Subramanian, MD of corporate governance research firm InGovern Research Services, said it would be a surprise if the summary is in complete contradiction with the investigation report. The company would disclose the report only if a regulator seeks such disclosure, he said.

\nChip Wagner, president of global business advisory services & emerging services in research and advisory firm ISG, said anonymous complaints, and calls to board ombudsman are occurring with regularity in larger companies. “Typical governance and reactions follow the path that Infosys seems to be taking to examine the charge, investigate the allegation, and take appropriate actions by following where the facts take them.Transparency can be a great ally in quelling any market noise and in maintaining investor and client confidence,“ he said.

\nMeanwhile, in a letter to Infosys employees on Wednesday on the occasion of his completion of three years at the company, Sikka had a line that appeared to be sending a message to the co-founders: “Recently , when I turned 50, another anniversary, a great teacher of my life gave me a rare book of reflections by Hermann Hesse.In it, I found this one gem: 'Some of us think holding on makes us strong, but sometimes it is letting go'.\"
