PARIS\/MADRID: France's Orange<\/a> and Spain's MasMovil<\/a> on Tuesday announced exclusive talks on a Spanish merger that would challenge the market's top telecoms player<\/a> Telefonica<\/a>.

The deal, which would create a
heavyweight spanning mobile<\/a> and broadband, will test European authorities' appetite for consolidation after years of opposition to takeovers.

\"Should the deal receive the green light, it could open the floodgates to a host of other alliances in markets such as Italy, Portugal, and the UK,\" said CCS Insight analyst Kester Mann.

Both companies will be able trigger a future IPO, they said, giving
Orange<\/a> a route to regain control of the 19.6 billion euro ($21.3 billion) tie-up that will overtake Telefonica<\/a> in both mobile and fixed-line broadband<\/a>.

A combination of
Orange and MasMovil<\/a>, the second and fourth largest players respectively, will leave third-ranked Vodafone<\/a> stranded.

The British company has listed the hyper-competitive Spanish market as ripe for consolidation.

Orange shares were up about 0.5% against a weaker overall market in early trade while
Vodafone<\/a> was down 3.2%. MasMovil<\/a> is unlisted. Telefonica rose about 0.5% as investors hope the deal might ultimately lead to a more rational market.

Telecoms executives have repeatedly called for market consolidation to reduce competition and boost operators' profitability at a time they need cash to invest into the rollout of 5G mobile telecom infrastructure.

While both Telefonica and Vodafone should benefit from a more rational market post-consolidation, Vodafone would be left in a distant no.3 position and no longer having the prospective exit route of a disposal to MasMovil, Jefferies analysts said.

REGULATOR TEST<\/strong>

Brussels has previously opposed consolidation that reduces the number of players from four to three in major markets.

Analysts at Citi said the deal should provide a first glimpse into whether there has been a sentiment shift at the European Commission away from a heavily consumer-centric towards a more balanced consumer-infrastructure focus.

\"While we think that a Vodafone\/MasMovil deal would have been far easier to get the go-ahead, we see a good chance of the Orange\/MasMovil deal to be approved,\" they said, adding that a key question would be how severe possible remedies would be.

MasMovil and Orange have until June to reach a definitive agreement to create a 50-5% joint venture owned by
Orange and MasMovil<\/a>'s shareholders, buyout funds KKR, Cinven and Providence.

It would have about 40% of the market in postpaid mobile and around 43% in fixed, and would generate revenue of more than 7.5 billion euros.

The deal offered annual synergies of 450 million euros from the third year after closing, the companies said.

Orange CEO Stephane Richard said the joint venture would build on the companies' existing successful collaboration \"to become a stronger player capable of making the investments required to develop the Spanish market\".

Richard, who recently said his main regret was the failure to consolidate the market in France, is stepping down as Orange's CEO.

Lazard advised Orange on the deal, while Goldman Sachs and BNP Paribas advised MasMovil.
