\"\"Reliance Industries Ltd (RIL<\/a>) has signed a pact to merge music app Saavn<\/a> with its own digital music service JioMusic<\/a> in a cashand-stock deal. The Mukesh Ambani-owned company will have a stake of more than 75% in the merged entity, which a press statement claimed, will be valued at $1billion.

\nThe company’s board also approved raising ₹20,000 crore through debt in tranches in a board meeting on Friday. This will be used to fund the capital expenditure requirements of Jio, including paying for the wireless assets of Reliance Communications, under a deal signed late December, analysts said.

\nRIL will pay $104 million in cash to acquire a partial stake from the existing shareholders of Saavn, including Tiger Global Management, Liberty Media and Bertelsmann among others. The three cofounders of Saavn — Rishi Malhotra, Paramdeep Singh and Vinodh Bhat — will continue to drive growth at the combined entity, RIL said in a joint statement. JioMusic’s implied valuation in the merged entity will be $670 million, the company added. According to industry sources, this implies that Saavn is valued at $330 million.

\nIn addition to its cash and stock investment, RIL said it will also invest up to “rupee equivalent of $100 million” for growth and expansion of the merged platform. Of this, the rupee equivalent of $20 million will be invested upfront.

“The investment and combination of our music assets with Saavn underlines our commitment to further boost the digital ecosystem and provide unlimited digital entertainment services to consumers over a strong uninterrupted network,” said Akash Ambani, director,
Reliance Jio<\/a>, who is said to have driven the deal. The transaction is subject to customary closing conditions. The merged company will continue to operate as an over-the-top media platform and will be available on all app stores.

\nAn EY report said the number of music streaming users in India has more than tripled to nearly 88 million since 201587.6 million. The number of online music consumers is expected to grow further as smartphone penetration along with faster data speeds and lower data rates.

\nRIL’s move comes at a time when the intense battle for telecom subscribers has shifted beyond just price to offerings such as content, primarily movies and music.

\nRIL’s rivals in the telecom space, led by market leader Bharti Airtel, are beefing up their entertainment content organically, or inorganically, even as they follow the aggregator model. Airtel has got a portfolio of content applications including Wynk Movies, Wynk Music, and Wynk Games, whereas Jio has platforms like JioTV, JioCinema, Jio-Music, JioCloud, and JioMags.

\nHowever, JioMusic, which has 16 million songs sourced from all major Indian and international labels, will become the first among peers to have taken the step of merging with another content provider. The other differentiator for the merged entity will be Saavn’s original content--the platform produces, distributes and licenses original music made with independent artists. “Content is increasingly becoming an important piece of a telco’s overall data strategy. And the acquisition of Saavn music app will help Jio broadbase its data offerings packing in more value, which should help it target high-value customers from rival incumbents,” said Naveen Kulkarni, a telecom analyst at PhillipCapital.

\nTO RAISE FUNDS FOR CAPEX

\nBesides beefing up the content, Jio — having invested over ₹200,000 crore and signed up more than 168 million subscribers — is also expanding its 4G network rapidly and aims to double its over 100,000 telecom towers to reach almost the entire population of the country by this year-end.

\nJio’s capex needs include ₹24,000- ₹25,000 crore that it will pay Reliance Communications for wireless assets including spectrum, towers, optic fibre and switching nodes.
