\nSistema JSFC, together with the Russian federation, holds about 74% in the Indian subsidiary, and the proposal, once approved, will pave the way for the Russians to buy out Indian partner Shyam Telecom, which holds the balance stake.

In its application to the foreign
investment<\/a> promotion board (FIPB), Sistema has sought approval that it be allowed to increase foreign equity beyond 74%, though it hasn’t specified the exact amount of equity investment it proposes to bring or the methodology.

\nSources in the know of the proposal told ET that the company would increase its stake in tranches instead of a hiking it in a single go. “The company wants to increase the scope and the area of its services depending upon opportunities,” the person said, referring to the company purchasing spectrum in the future auctions which would require capital infusion.

\nHe further hinted that the Indian partner might not be as keen as investing large sums required, thus leaving no option for the Russian operator but to raise its holding in the company.

When contacted SSTL’s spokesperson confirmed that the company had sought an FIPB approval to raise
FDI<\/a> beyond 74%. Shyam Telecom declined to comment.

\nSistema’s proposal to raise stake comes as a shot in the arm for India’s telecom sector which was once the beacon of the country’s economic growth but has fallen on hard times, thanks to intense competition and regulatory uncertainty. Recently, Japan’s NTT DoCoMo decided to exit the country by selling its stake in local JV Tata Teleservices as the loss-making Indian venture could not meet performance parameters.

\nStill, many feel that the worst is over for the sector with many of the regulatory issues being sorted out, pricing power returning to the telcos, and data being looked upon as the next growth driver – a segment which Sistema Shyam is focused on. Vodafone also bet on these factors while deciding to raise stake in Vodafone India to a 100%. In March, Telenor’s Asia head Sigve Brekke had also said that the Norwegian telco is considering increasing promoter stake to 100% in its Indian unit, Uninor, as it was bullish on the Indian telecom market for the long-term.

\nSistema entered India in 2007 during the sector’s glory days by buying a 10% stake in an Indian entity. In 2008, the JV was awarded licenses and spectrum to offer telecom services in all of India’s 22 circles using the CDMA technology, and Sistema gradually raised its stake in the JV.

\nRegulatory uncertainty then took over, and the mode of the 2008 bandwidth allotment came under scrutiny, resulting in the Supreme Court cancelling all but one of Sistema Shyam’s licenses, along with many of other telcos. SSTL has since bought back airwaves in eight circles, and is now the only pure-play CDMA operator, with services in 9 circles, focusing mainly on data through dongles. The company with over 10 million subscribers narrowed its net loss for 2013 to Rs 2694.2 crore from 2,982.1 crore in 2012. Revenue fell over 24% to Rs 1,227 crore.

\nCurrently, Sistema Shyam is at loggerheads with the sector regulator over the starting price of airwaves in the 800 Mhz band which is used typically by CDMA operators and is expected to be auctioned this year. SSTL has strongly opposed the sector regulator’s recommendation to start the auction for 1 Mhz of airwaves at Rs 2,685 crore, instead suggesting that starting price should be Rs 1,816 crore - 80% of the market price for airwaves in the 1800 Mhz band as discovered in the February auctions.

\nWhile the telecom regulator had justified the high price on the basis that spectrum in this band could be used to render high speed data services and is very efficient, the CDMA operator has often said that it was being meted out biased treatment vis-a-vis the GSM operators.
