\"\"MUMBAI: The Raine Group<\/a>, a global boutique merchant bank focused exclusively on technology, media and telecommunications, is planning expansion to India next month, endorsing innovations in digital and consumer internet here.

The firm is planning to open its second Asia office in Mumbai and has roped in
Gaurav Mehta<\/a>, former investment banking head at UBS, as managing director to head India.
\n
As one of the hottest deal shops from
Wall Street<\/a>, Raine was an advisor in two of the largest technology deals of 2016 — the $8.6-billion acquisition of Supercell by Chinese giant Tencent and the £24.3-billion sale of a UK chip designer arm to Soft-Bank. A year before, they got a bunch of Chinese investors to buy into Manchester City<\/a> football team at a valuation of $3 billion, one of the highest in sports.

But unlike their bulge-bracket peers, Raine —started eight years ago by rainmakers from Goldman Sachs and
Morgan Stanley<\/a>, Joseph Ravitch and Jeffery Sine — has a unique business model of an ‘intergrated merchant bank.’ They invest in venture or growth equity, apart from arranging such transactions. The roughly 75 professionals at Raine divide their time equally between devising potential M&A mandates they could create for their clients, and in many cases, take a piece of them as well by finding investment opportunities for the firm.

\nFor instance, as investors with over $2.5 billion of assets under management, Raine has backed millennial media company Vice or Hollywood’s Imagine Entertainment.

“We launched our business in 2009 and India is a natural extension in terms of where we are deploying our resources. India is a very important market in terms of shift to digital content consumption and we want to position ourselves in front of those trends. We are not looking at just the next 18-24 months but far beyond,” said
Brandon Gardner<\/a>, chief operating officer, in an exclusive interaction with ET.

\nRaine plans to start the Mumbai office with a team of four to five and scale it up to 10-12 in the next couple of years, Gardner said. But this is not a new market for them having worked closely with several global strategics in the recent past.

Raine advised
SoftBank<\/a> on initial investments in Ola Cabs, other Indian consumer internet companies and leading OTT platform YuppTV on its capital raise from Emerald Media. The firm has also assisted several of its portfolio companies and global clients in developing strategic partnerships in India.

\n“India witnessed a slow period in corporate activity between 2012 and 2014 for various factors,” said Mehta. “Over the past year or so, we have started to witness an increase in M&A based on industrial logic particularly in the TMT sector with Vodafone-Idea, Makemytrip-Ibibo, Dish TV-Videocon D2H, Reliance Infratel-Brookfield, KKR\/CPPIB’s investment into Bharti Infratel being recent examples. We anticipate that TMT advisory will be significant going forward and plan to leverage our global experience, our specialist understanding of the sector and relationships to serve us well rather than having to ambulance chase across sectors.”

With over 15 years of experience, Mehta has advised Indian companies like Bharti
Airtel<\/a>, Bharti Infratel, Reliance Communications, Videocon D2h and Flipkart<\/a>. Before joining UBS, he led coverage of Indian telecom, realty and financial sponsor clients at Morgan Stanley.

\nWith the surge in mobile internet that’s sweeping India, Mehta argues there will be an increased scope for private capital raising in emerging TMT sectors such as digital content, gaming, OTT platforms and film. “We expect to be able to take advantage through our integrated merchant banking model of advising and investing,” he said.

\nIndia has traditionally been a capital markets-dominated banking fee pool that suited big investment banks. That has changed.
